SUMMARY OF PROPOSED CHANGES TO THE BYLAWS

The Board of Directors has approved the following changes to the Bylaws and recommends a YES vote. 2/3 of the members voting must approve these changes. A) ARTICLE IX – FUNDS; SECTION 3.1: THE NEGOTIATIONS FUND

RATIONALE: The Negotiations Fund is a reserved fund that can only be used in relation to the Memorandum of Agreement (MOA), which outlines income and benefits for sworn members of the Sheriff’s Department. This fund may only be used for costs related to the research, negotiation, ratification, enforcement and arbitration of the MOA. Currently, if the Relief Fund reaches a certain limit, the dues allocated for that fund are instead placed in the Negotiations Fund. This keeps both funds at acceptable levels, building the funding necessary for negotiations without raising dues. Proposed bylaw changes raise the Negotiations Fund to $500,000, which is a level that will enable the DSA to fund a lengthy negotiation or litigation. This merely raises the monetary limit of the current dues reallocation process between the relief fund and the negotiations fund. There will be no dues increase or impact on the members’ paycheck.

Section 3.1: The Negotiations Fund

Once the balance of the Relief Fund exceeds $300,000 $500,000, then two dollars of each Class 1 members designated percentage of funds established pursuant to Section 1 for the Relief Fund shall instead be placed into the Negotiations Fund. These funds will continue to be placed into the Negotiations Fund until one of the following occur, at which time all designated funds established pursuant to Section 1 for the Relief Fund will again be placed solely into that fund.

a. The balance of the Negotiations Fund exceeds $300,000 $500,000; or

b. The balance of the Relief Fund falls below $275,000 $475,000; or

c. A two-thirds (2/3’s) vote of the Board of Directors to suspend the two-dollar deposit into the Negotiations fund. The Relief Fund shall have priority over the Negotiations Fund in all matters.

If the balance of the Negotiations Fund falls below $275,000 $300,000 through expenditures, and the Relief Fund balance is at least $300,000 U$475,000U, then the two dollar deposit into the Negotiations Fund will again commence until only such time as that fund balance exceeds $300,000 $500,000 subject to the conditions in Section 3 .1 (a), (b) or (c).

The Negotiations Fund shall only be used for those expenses directly related to research for the Memorandum of Agreement, negotiation of the Memorandum of Agreement, ratification of the Memorandum of Agreement, enforcement of the provisions of the Memorandum of Agreement including arbitration concerning the provisions of the Memorandum of Agreement, arbitration to obtain a Memorandum of Agreement and/or litigation concerning the Memorandum of Agreement or the negotiation of the Memorandum of Agreement or retirement benefits.
